1. Acceptance of Terms

EaseQMS is the Quality Management System (QMS) offered by EaseOps, a product operated by Moonwyre Software Private Limited (collectively "EaseQMS", "EaseOps", "we", "us", or "our"). By accessing or using the EaseQMS platform, website at easeops.io, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms. If you do not agree, you may not use the Services.

2. Description of the Services

EaseQMS is an AI-powered Quality Management System for healthcare, with features for checklists, audits, documentation, compliance monitoring, and meeting minutes. The Meeting Minutes feature can, with your authorisation, connect to Google services to help capture, generate, and store minutes for your organisation's meetings.

3. Accounts and Access

To use the Services you may need an account, which is typically provisioned by your organisation. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorised use of your account.

4. Google Account Integration

If you enable the Meeting Minutes feature or other integrations, you may authorise EaseOps to access certain Google data (such as Google Calendar, Google Meet content, and Google Drive files) solely to provide the features you request. Your authorisation is voluntary and may be revoked at any time through your Google Account security settings. Our handling of Google data is described in our Privacy Policy and complies with the Google API Services User Data Policy, including its Limited Use requirements. Your use of Google services also remains subject to Google's own terms.

5. Acceptable Use

You agree not to:

• Use the Services in violation of any applicable law or regulation;
• Upload or transmit content that infringes the rights of others or is unlawful, harmful, or objectionable;
• Attempt to gain unauthorised access to the Services, other accounts, or connected systems;
• Interfere with or disrupt the integrity or performance of the Services;
• Reverse engineer, copy, or resell any part of the Services except as permitted by law.

6. Your Data

You and your organisation retain ownership of the data you submit to the Services, including meeting minutes and other operational content ("Customer Data"). You grant EaseOps a limited licence to host, process, and use Customer Data solely to provide and improve the Services in accordance with our Privacy Policy. You are responsible for ensuring you have the necessary rights and permissions for any data you submit.

7. Intellectual Property

The Services, including all software, design, text, and trademarks (excluding Customer Data), are owned by Moonwyre Software Private Limited or its licensors and are protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use them as described here.

8. Service Availability

We strive to keep the Services available and reliable but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Services at any time, and will make reasonable efforts to provide notice of material changes where practicable.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. EaseOps does not warrant that the Services will meet your requirements or that any output, including AI-generated meeting minutes, will be accurate or complete. You are responsible for reviewing generated content before relying on it.

10. Limitation of Liability

To the maximum extent permitted by law, Moonwyre Software Private Limited and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or in connection with your use of the Services.

11. Termination

We may suspend or terminate your access to the Services if you breach these Terms or if we reasonably believe such action is necessary to protect the Services or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will continue to apply.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India.
